Terms of Service

    These Terms of Service (the "Agreement") are entered into by and between LIVE Tapestry Technologies LLC, doing business as Bonfire AI ("Bonfire," "we," "us," or "our") and the entity or person ("Customer," "you," or "your") accessing or using our services. By accessing or using any of Bonfire's services, you agree to be bound by this Agreement. If you are using the services on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement. PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING OUR SERVICES.

    1. Definitions

    • "Affiliate" means any entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of more than 50% of the voting interests of the entity.
    • "Agreement" means these Terms of Service and any Order Forms, proposals, and documents incorporated herein.
    • "Agent" means an AI assistant configured within a Workspace, including its identity, personality, knowledge assignments, skills, and guidance.
    • "AI Outputs" means content generated by the Services in response to prompts, questions, or configured skills, including text, summaries, drafts, documents, and images.
    • "Credits" means the usage units consumed by AI generation under your plan, as described on our pricing page or Order Form.
    • "Customer Content" means any data, content, documents, media, or information provided by or on behalf of Customer in connection with the Services, including knowledge-base materials, uploads, integration data, and configuration.
    • "End User" means an individual who interacts with a Customer's deployment of the Services (for example Customer's staff, members, congregation, clients, site visitors, or event attendees).
    • "Conversation Data" means the prompts, messages, and responses exchanged between End Users (or Customer's team) and Customer's Agents.
    • "Order Form" means any ordering document, accepted proposal, or online order specifying the Services purchased.
    • "Partner Program" means Bonfire's referral, reseller, and network partner programs, governed by the separate Bonfire Partner Program Agreement.
    • "Permitted Users" means employees, contractors, or agents of Customer or its Affiliates authorized to administer or use the Services.
    • "Services" means Bonfire's hosted AI platform and related services, including Workspaces, Agents, knowledge bases, chat widgets, integrations, and support.
    • "Subscription Term" means the period during which Customer is authorized to use the Services.
    • "Third-Party Services" means third-party applications, integrations, model providers, or platforms that interoperate with the Services.
    • "Workspace" means Customer's organization account within the Services.

    2. Bonfire Services

    2.1 Provision of Services.

    Bonfire provides a platform that allows organizations to build and deploy AI Agents trained on their own content: to serve their teams internally, to engage their communities and site visitors, to manage conversations with human handoff, and to integrate these capabilities into their websites, applications, and tools.

    2.2 Access and Use.

    Subject to this Agreement, Bonfire grants you a limited, non-exclusive, non-transferable right to access and use the Services during the Subscription Term for your business purposes, including deployment of Agents to your End Users.

    2.3 Permitted Users and End Users.

    You may allow Permitted Users to administer the Services and End Users to interact with your deployed Agents. You are responsible for their compliance with this Agreement and for presenting End Users with any notices required by law or by Section 3.

    2.4 Restrictions.

    You shall not: (a) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Services except as permitted herein or under an executed Partner Program agreement; (b) modify or make derivative works based upon the Services; (c) reverse engineer, disassemble, or decompile the Services; (d) access the Services to build a competitive product; (e) use the Services to generate content that is unlawful, infringing, deceptive, or harmful, or to impersonate any real person without documented authorization; (f) circumvent usage limits, Credits metering, or access controls.

    2.5 Trials and Free Plans.

    Trial and free-tier use is subject to this Agreement and any limits we communicate. We may modify or discontinue free features with reasonable notice.

    2.6 Beta Features.

    Features identified as beta, preview, or roadmap (for example guided flows) are provided as-is, may change or be withdrawn, and are excluded from availability commitments.

    3. AI Outputs and Responsible Use

    3.1 Nature of AI.

    AI Outputs are generated by machine learning systems and may be inaccurate, incomplete, or inconsistent despite configuration and guardrails. You are responsible for reviewing AI Outputs before relying on them or publishing them.

    3.2 No Professional Advice.

    AI Outputs are not legal, medical, financial, tax, or mental-health advice. You will not represent otherwise to End Users.

    3.3 Human Escalation.

    Where your deployment serves End Users in care contexts, you are responsible for configuring appropriate human handoff and crisis resources, and for staffing them.

    3.4 Persona and Voice.

    Where the Services are configured to answer in the voice or style of a real person or brand, you represent that you have authorization to use that voice, name, and associated content, and that Agents will be configured to disclose they are AI when asked.

    3.5 Ownership of AI Outputs.

    As between the parties, Customer owns AI Outputs generated for Customer through its Workspace, to the extent permitted by law.

    4. Customer Content, Conversation Data, and Obligations

    4.1 Customer Content.

    You retain all rights to your Customer Content. You grant Bonfire a non-exclusive, worldwide, royalty-free license to host, use, process, and transmit Customer Content and Conversation Data solely as necessary to provide and support the Services.

    4.2 No Third-Party Model Training.

    Bonfire does not use your Customer Content or Conversation Data to train third-party foundation models. Model providers used by the Services are accessed under API terms that do not permit training on your data. VERIFY current provider terms and internal practices with Preston.

    4.3 Data Compliance.

    You represent that you have obtained all rights, consents, and permissions necessary to provide Customer Content and to deploy Agents to your End Users, and that your Customer Content does not violate law or third-party rights.

    4.4 Prohibited Data.

    Do not upload or solicit social security numbers, payment card data, protected health information, or other data subject to specific regulatory regimes, unless agreed in writing by Bonfire.

    4.5 Conversation Data Visibility.

    Customer's administrators can review Conversation Data within the Workspace per plan features. You are responsible for disclosing this to your End Users and for your own policies governing that review.

    4.6 Customer Obligations.

    You are responsible for:

    • (a) compliance with this Agreement by your Permitted Users and End Users;
    • (b) the accuracy, quality, and legality of Customer Content;
    • (c) your deployment choices, including guidance, guardrails, and CTAs;
    • (d) compliance with marketing and consent laws for any outreach you run using the Services.

    5. Security

    5.1 Security Measures.

    Bonfire implements reasonable administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of Customer Content and Conversation Data, as described in our Security Overview.

    5.2 Security Breach.

    In the event of a security breach affecting your data, Bonfire will notify you without undue delay in accordance with applicable law and will cooperate to mitigate adverse effects.

    6. Third-Party Integrations

    6.1 Integrations.

    The Services support integrations with Third-Party Services (for example Google Workspace, CRMs, and AI model providers). Bonfire is not responsible for the availability or performance of Third-Party Services.

    6.2 Third-Party Terms.

    Your use of Third-Party Services is governed by their terms. You are responsible for maintaining any third-party accounts and authorizations your integrations require.

    7. Intellectual Property Rights

    7.1 Ownership.

    Bonfire retains all rights, title, and interest in and to the Services, Documentation, templates, and platform improvements, including all related intellectual property rights.

    7.2 Feedback.

    Bonfire may use suggestions or feedback you provide without restriction or obligation.

    8. Subscription Term, Fees, and Payment

    8.1 Subscription Term.

    The Subscription Term commences on the date stated in the Order Form (or, where an implementation precedes launch, on the go-live date stated there) and continues for the period specified.

    8.2 Fees.

    You agree to pay all fees specified in the Order Form or at checkout. Except as expressly stated, fees are non-cancellable and non-refundable. Implementation and custom development fees are non-refundable once work begins.

    8.3 Renewals and Cancellation.

    Monthly plans renew monthly and may be cancelled with 30 days' notice. Annual plans renew annually unless cancelled before renewal; annual fees are non-refundable after the first 30 days of a term. Align with current billing system behavior.

    8.4 Usage and Credits.

    Plans include the Credits and content capacity stated on the pricing page or Order Form. Overages and add-on packs are billed at then-current rates. Bonfire will make usage visible in the Dashboard.

    8.5 Payment Terms.

    Fees are due in advance unless otherwise stated. Late amounts may accrue late fees, and Bonfire may suspend Services for accounts more than 15 days overdue after notice.

    8.6 Taxes.

    Fees exclude taxes; you are responsible for applicable taxes.

    9. Term and Termination

    9.1 Termination for Cause.

    Either party may terminate:

    • (a) upon 30 days' written notice of a material breach if uncured;
    • (b) upon the other party's insolvency.

    9.2 Effect of Termination.

    Upon termination, access ceases. Upon request within 30 days of termination, Bonfire will make Customer Content and knowledge-base exports available in a reasonable format, after which Bonfire may delete Customer data per its retention schedule.

    9.3 Survival.

    Provisions that by their nature should survive will survive, including ownership, confidentiality, indemnification, disclaimers, and limitations of liability.

    10. Limited Warranty

    10.1 Warranty.

    Bonfire warrants the Services will perform materially in accordance with the Documentation under normal use.

    10.2 Disclaimer.

    EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES AND AI OUTPUTS ARE PROVIDED "AS IS," AND BONFIRE DISCLAIMS ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT AI OUTPUTS WILL BE ACCURATE OR ERROR-FREE.

    11. Availability

    Bonfire will use commercially reasonable efforts to make the Services available 24/7, except for planned downtime (with advance electronic notice) and circumstances beyond our reasonable control.

    12. Support

    Bonfire provides standard support at no additional charge, and upgraded support (including white-glove implementation) where purchased.

    13. Limitation of Liability

    13.1 Exclusion of Consequential Damages.

    Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or use.

    13.2 Cap.

    Except for liabilities arising from gross negligence, willful misconduct, or indemnification obligations, each party's aggregate liability shall not exceed the total amount paid or payable by Customer in the twelve months preceding the event giving rise to liability.

    14. Indemnification

    14.1 By Bonfire.

    Bonfire will defend and indemnify you against claims that the Services, as provided and used as permitted, infringe a valid U.S. patent or copyright, subject to prompt notice and cooperation.

    14.2 By Customer.

    You will defend and indemnify Bonfire against claims arising from Customer Content, your deployment of Agents to End Users, your representations to End Users, or your use of the Services in violation of this Agreement, law, or third-party rights.

    15. Confidential Information

    Substantially as in the LIVE AI terms: mutual protection of non-public information with reasonable care, standard exceptions, return or deletion on request.

    16. Publicity

    Bonfire may identify you as a customer and use your logo in promotional materials unless you opt out in writing.

    17. General Provisions

    Assignment (consent required except merger/sale); Governing Law: State of Delaware, with exclusive venue in New Castle County, Delaware; Notices (personal delivery, second business day after mailing, first business day after email); Entire Agreement; Amendments in writing (Bonfire may update these Terms with 30 days' notice for prospective effect); Severability; Force Majeure; Independent contractors; No third-party beneficiaries; Counterparts.
